Ondas Holdings announced the acquisition of 100% of the Israeli company Omnisys in a stock deal valued at $200 million. As part of the transaction, Omnisys will become a subsidiary of the group and will be integrated into Ondas’ “Systems of Systems” architecture, which the company is advancing for defense and autonomous systems markets.

Omnisys, which has been operating in the defense sector for over 25 years and employs approximately 185 people in Israel, develops AI-based software solutions for planning, optimization, and real-time operational decision-making. The company provides systems to militaries and security organizations worldwide and specializes in managing complex missions in multi-domain and multi-mission environments.

At the core of the acquisition is Omnisys’ BRO (Battle Resource Optimization) platform – a modular, vendor-agnostic software system that integrates data from command-and-control systems, sensors, and various operational platforms. The system uses artificial intelligence for real-time analysis, planning, and optimization, aiming to improve mission effectiveness both in the planning phase and during live combat operations.

According to the companies, the platform supports the full mission lifecycle, from early planning, through dynamic real-time adjustments, to post-mission debriefing and analysis. Among other uses, the system is intended for air defense, counter-drone operations, electronic warfare, intelligence collection, border defense, and spectrum management.

The acquisition comes after Ondas reported last week record revenues of $50.1 million in Q1 2026 – more than a tenfold increase compared to the same period last year – and raised its full-year revenue forecast to at least $390 million.

Ondas views the acquisition of Omnisys as a key milestone in its broader transformation from a platform provider into a software-defined defense technology company. The company is building an integrated architecture connecting autonomous systems, sensors, intelligence, strike and defense capabilities, alongside a central software layer for mission management and operational decision-making.

According to Eric Brock, Chairman and CEO of Ondas, the BRO platform represents a significant component of the company’s roadmap toward building a Systems of Systems architecture for autonomous defense and security solutions. He said the system’s ability to integrate with existing infrastructure and operate alongside diverse systems strengthens the company’s capacity to deliver large-scale operational solutions to global defense markets.

Oshri Lugasi, Co-CEO of Ondas Autonomous Systems, said that integrating BRO into the company’s architecture adds “one of the most advanced and operationally proven AI-based decision engines,” enabling a closed-loop system that connects sensors, platforms, and effectors for real-time detection, decision-making, and response.

Ofer Yarden, CEO of Omnisys, said the company was founded with the goal of making a significant contribution to Israel’s security and leading globally in mission optimization. He added that the partnership with Ondas is expected to significantly accelerate the company’s international growth and expand its presence in defense markets in the United States and other countries.
